These Terms of Service (“Terms”) govern your access to and use of Hulby, including the Hulby website, applications, software, AI-powered content generation tools and related services (collectively, the “Service”).

Hulby is operated by Hulby, trading as Hulby (“Hulby”, “we”, “us” or “our”).

By creating an account or using the Service, you agree to these Terms.

1. The Service

Hulby is an AI-powered content creation platform that can generate social media posts, images, captions, carousels and other marketing content based on information you provide, including information about your business, website, brand and products.

The Service may use artificial intelligence models and third-party technologies to generate and process content.

We may add, remove or modify features of the Service over time.

2. Eligibility

You must be at least 18 years old to create a paid account unless applicable law allows otherwise.

If you use Hulby on behalf of a company or organisation, you confirm that you have authority to enter into these Terms on its behalf.

3. Your Account

You are responsible for maintaining the security of your account and login credentials.

You must provide accurate information and must not impersonate another person or organisation.

You are responsible for activity occurring through your account unless you can demonstrate that the activity occurred without your authorisation and through no fault of your own.

4. Subscriptions and Payments

Some features of Hulby require a paid subscription.

The applicable price, billing period and included features are shown before you complete your purchase.

Subscriptions may automatically renew unless cancelled before the next billing period.

Payments may be processed by third-party payment providers. We do not store your full payment card details unless expressly stated otherwise.

You authorise us and our payment providers to charge the applicable subscription fee using your selected payment method.

We may change our subscription prices. Where required by law, we will provide advance notice of price changes and inform you of your rights to cancel.

5. Cancellation

You may cancel your subscription through your account or through the cancellation mechanism made available by Hulby.

Cancellation prevents future renewal unless otherwise stated.

Unless required by law, cancellation does not automatically entitle you to a refund for a billing period that has already started.

Nothing in these Terms limits mandatory consumer rights.

6. Consumer Right of Withdrawal

If you are a consumer in the European Union, you may have a statutory 14-day withdrawal period for online contracts.

Where the Service is a digital service and you request that the Service begins during the withdrawal period, you may be required to expressly acknowledge that the Service will start immediately.

Where permitted by applicable law, you may lose the right of withdrawal once the Service has been fully performed, provided the applicable legal requirements have been satisfied.

Where applicable, we will provide the statutory withdrawal information and model withdrawal form.

For digital services, consumer rights relating to defective or non-conforming services remain unaffected. 

7. Your Content

You retain ownership of content that you provide to Hulby, including your brand materials, logos, images, text, product information and other materials (“Your Content”).

You grant Hulby the limited rights necessary to process, store, analyse and use Your Content to provide and improve the Service.

You represent that you have the necessary rights and permissions to provide Your Content to Hulby.

You must not upload content that you do not have the right to use.

8. AI-Generated Content

Hulby uses AI systems to generate content.

AI-generated content may contain errors, inaccuracies, unexpected results or similarities to existing content.

Hulby does not guarantee that generated content is factually correct, unique, legally protectable or suitable for publication without human review.

You are responsible for reviewing generated content before publishing, including claims relating to products, prices, health, performance, safety, customers, competitors and other factual matters.

You are also responsible for ensuring that published content complies with applicable advertising laws, intellectual property laws and the rules of the social media platform on which you publish it.

9. Intellectual Property

The Hulby software, website, branding, design, trademarks, documentation and other materials provided by Hulby remain our property or the property of our licensors.

Except for the rights expressly granted in these Terms, no rights are transferred to you.

Subject to applicable law and any third-party provider restrictions, you may use content generated through Hulby for your business and marketing activities.

We do not guarantee that every AI-generated output qualifies for copyright protection.

10. Third-Party Services

Hulby may integrate with or rely on third-party services, including hosting providers, payment providers, AI model providers, analytics providers and social media platforms.

Third-party services may have their own terms and privacy policies.

We are not responsible for changes, outages or limitations imposed by third-party platforms outside our reasonable control.

11. Prohibited Use

You may not use Hulby to:

(a) generate unlawful content;

(b) infringe intellectual property or privacy rights;

(c) impersonate individuals or organisations for fraudulent purposes;

(d) create deceptive or misleading commercial communications;

(e) generate content intended to facilitate fraud, scams or other illegal activities;

(f) distribute malware or harmful code;

(g) circumvent security or access controls;

(h) interfere with the operation of Hulby;

(i) reverse engineer the Service except where mandatory law permits it;

(j) use automated methods to abuse the Service or circumvent usage limits; or

(k) use Hulby in violation of applicable laws or platform rules.

12. Availability

We aim to provide a reliable Service but do not guarantee that Hulby will always be available, uninterrupted or error-free.

We may temporarily suspend access for maintenance, security, upgrades or circumstances outside our reasonable control.

13. Changes to the Service

We may modify, improve or discontinue features.

Where a change materially reduces the functionality of a paid Service, we will provide notice where required by law.

14. Suspension and Termination

We may suspend or terminate an account if you materially violate these Terms, misuse the Service, fail to pay applicable fees or create a security or legal risk.

Where appropriate, we will provide notice and an opportunity to remedy the issue.

Termination does not affect rights or obligations that arose before termination.

15. Your Data After Termination

After termination, we may retain certain information where necessary to comply with legal obligations, resolve disputes, enforce agreements or maintain legitimate business records.

Where reasonably possible, we will allow you to export your own content before deletion.

Specific retention periods are described in our Privacy Policy.

16. Disclaimers

To the maximum extent permitted by law, Hulby provides AI-generated content and the Service without guaranteeing that generated content will be accurate, complete, original, suitable for a specific purpose or free from third-party rights.

Nothing in these Terms excludes mandatory consumer rights or statutory guarantees.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Hulby is not liable for indirect or consequential loss, loss of profits, loss of business opportunities, loss of reputation or loss of data resulting from your use of the Service.

Our total liability arising from the Service will, where legally permitted, be limited to the fees you paid to Hulby during the [3/6/12] months preceding the event giving rise to the claim.

Nothing in these Terms limits liability where such limitation is prohibited by law.

18. Indemnification

To the extent permitted by applicable law, you agree to indemnify Hulby against claims arising from your unlawful use of the Service, violation of these Terms or infringement of third-party rights caused by Your Content.

This clause does not apply where the claim is caused by Hulby's own unlawful conduct or negligence.

19. Governing Law

These Terms are governed by the laws of the Netherlands, unless mandatory law in your country provides otherwise.

If you are a consumer, nothing in these Terms deprives you of mandatory protections that apply in your country of residence.
